1. Acceptance of Terms

By accessing or using the website at asphaltpavingsantaclarita.com (the "Site") or by engaging Vertex Santa Clarita Asphalt Paving ("Company," "we," "us," or "our") to provide services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Site or our services. These terms apply to all visitors, customers, and anyone who accesses or uses the Site.

2. Description of Services

Vertex Santa Clarita Asphalt Paving provides asphalt paving, sealcoating, repair, and related services to residential and commercial customers in Santa Clarita, California and surrounding areas. The scope of services for any specific project is defined in a written estimate or contract provided to the customer before work begins. Descriptions of services on the Site are for informational purposes only and do not constitute a binding offer or guarantee of availability.

3. Estimates and Pricing

All estimates provided by Vertex Santa Clarita Asphalt Paving are based on information available at the time of the site visit and are valid for 30 days from the date issued unless otherwise stated in writing. Estimates are not final contracts. The final price may change if:

• Site conditions differ materially from what was observed during the estimate visit.
• The customer requests changes to the scope of work after the estimate is issued.
• Material costs change significantly due to market conditions between the estimate date and the work date.
• Unforeseen conditions are discovered during the work (such as base failure not visible from the surface).

We will notify you of any material changes to the estimated price before proceeding. Written authorization from the customer is required before additional work beyond the original scope begins.

4. Scheduling and Cancellation

Work is scheduled based on crew availability, weather conditions, and material supply. We will make reasonable efforts to complete work on the agreed date. We reserve the right to reschedule due to weather, safety conditions, or other circumstances beyond our control.

If you need to cancel or reschedule a confirmed appointment, please notify us as soon as possible. Cancellations made with less than 48 hours notice may result in a cancellation fee to cover mobilization costs, as specified in your written estimate or contract. Jobs cancelled after materials have been ordered may be subject to restocking or material fees.

5. Payment Terms

Payment terms are specified in your written estimate or contract. Generally:

• A deposit may be required before work begins, as specified in the estimate.
• Final payment is due upon completion of the work unless otherwise agreed in writing.
• We accept payment by check, cash, or other methods specified at time of estimate.

Accounts not paid within the agreed period may be subject to late fees and referred to a collection agency. You agree to pay all reasonable costs of collection, including attorney fees, incurred by the Company as a result of non-payment.

6. Customer Responsibilities

You agree to:

• Remove vehicles, equipment, and personal property from the work area before the scheduled start time.
• Disclose any known underground utilities, irrigation lines, or other subsurface features in the work area.
• Obtain any required HOA approvals, permits, or neighbor notifications before work begins.
• Follow all cure-time and post-installation care instructions provided by our crew.

7. Warranty Disclaimer

We stand behind the quality of our work. Any specific warranty terms for your project will be stated in your written estimate or contract. Unless otherwise specified in writing, our warranty covers defects in workmanship for a period of one year from the date of project completion.

Our warranty does not cover:

• Damage caused by failure to follow post-installation care instructions.
• Damage from vehicle or equipment loads exceeding the design capacity of the paving.
• Damage from subsurface conditions not disclosed before the estimate or not detectable by reasonable inspection.
• Normal weathering, fading, or surface wear that is not the result of defective workmanship.
• Damage from acts of God, including earthquakes, floods, or fire.

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, COMPLETENESS, OR FITNESS FOR ANY PARTICULAR PURPOSE OF THE INFORMATION ON THE SITE.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Vertex Santa Clarita Asphalt Paving shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, your engagement of our services, or any work performed under a contract with us. Our total liability for any claim arising from services rendered shall not exceed the amount paid by you for the specific project giving rise to the claim. Some jurisdictions do not allow limitation of certain damages, so the above limitation may not apply to you.

9. Intellectual Property

All content on the Site, including text, images, logos, and graphics, is the property of Vertex Santa Clarita Asphalt Paving or its content providers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written permission.

10. Dispute Resolution

If a dispute arises between you and Vertex Santa Clarita Asphalt Paving relating to these Terms or the services we provide, we encourage you to contact us first at projects@asphaltpavingsantaclarita.com so we can attempt to resolve the matter informally.

If informal resolution is not successful, any dispute shall be resolved by binding arbitration in Santa Clarita, CA, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. You waive the right to participate in any class action proceeding against the Company.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal proceedings not subject to the arbitration clause above shall be brought exclusively in the state or federal courts located in CA.

12. Modifications to These Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective when posted to the Site with an updated effective date.
